Terms of Service

1. Acceptance of Terms
By accessing or using the Recipe Manager application operated by Sciometa ("we", "our", or "us"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the application. These Terms constitute a legally binding agreement between you and Sciometa.
2. Description of Service
Recipe Manager is a web application that allows users to create, manage, and share recipes, manage documents, track ingredient costs, and perform menu engineering analysis. The service is provided on an "as available" basis and may be modified, updated, or discontinued at any time without prior notice.
3. Eligibility
You must be at least 16 years of age to use this service. By using the application, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
4. User Accounts
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality and security of your account credentials.
- You are solely responsible for all activities that occur under your account, whether or not authorized by you.
- You must notify us immediately of any unauthorized use of your account or any other breach of security.
- We reserve the right to suspend or disable any account at our sole discretion, including if we reasonably believe that account information is inaccurate or that account activity violates these Terms.
5. User Content
You retain ownership of all content you create, upload, or share through the application, including recipes, documents, and images ("User Content"). By using the service, you grant Sciometa a worldwide, non-exclusive, royalty-free license to store, process, reproduce, and display your User Content solely as necessary to provide and improve the service. This license terminates when you delete your User Content or your account, except where retention is required by law or for legitimate business purposes (e.g., backups).
You represent and warrant that you own or have the necessary rights and permissions to submit User Content and to grant the license described above, and that your User Content does not violate any third party's rights.
6. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable laws or regulations.
- Upload malicious content, viruses, or code designed to compromise the system or other users.
- Share content that infringes on any third party's intellectual property, privacy, or other rights.
- Attempt to access other users' accounts or data without authorization.
- Use the service in a way that could harm, disable, overburden, or impair our infrastructure or interfere with other users' use of the service.
- Reverse engineer, decompile, or disassemble any part of the application.
- Use automated scripts or bots to access the service without prior written consent.
7. Intellectual Property
The application, including but not limited to its design, features, code, documentation, logos, trademarks, and all related intellectual property, is owned by Sciometa and protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the application beyond the limited right to use it in accordance with these Terms.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SCIOMETA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such jurisdictions, Sciometa's warranties are limited to the maximum extent permitted by applicable law.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCIOMETA, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SCIOMETA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SCIOMETA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID SCIOMETA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).
The limitations in this section apply regardless of the legal theory on which a claim is based, whether in contract, tort (including negligence), strict liability, or otherwise.
10. Indemnification
You agree to indemnify, defend, and hold harmless Sciometa, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) your User Content.
11. Termination
We may suspend or terminate your access to the service at any time, with or without cause, and with or without notice, for conduct that we believe violates these Terms or is harmful to other users, Sciometa, or third parties. You may terminate your account at any time by deleting it through the application settings. Upon termination, your right to use the service ceases immediately, and we may delete your account data in accordance with our Privacy Policy. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
12. Force Majeure
Sciometa shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, power failures, internet or telecommunications failures, cyberattacks, or third-party service provider outages.
13. Changes to Terms
We reserve the right to modify these Terms at any time at our sole discretion. We will notify users of material changes by updating the "Last updated" date at the top of this page and, when practicable, by providing notice through the application. Your continued use of the service after the effective date of the revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the service.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the service shall be submitted to the exclusive jurisdiction of the courts of Helsinki, Finland. Notwithstanding the foregoing, Sciometa may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
If you are a consumer residing in the European Union, you may also be entitled to submit a complaint through the European Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sciometa regarding your use of the service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter herein.
17. Waiver
The failure of Sciometa to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Sciometa.
